Terms and Conditions
Azured Consulting Pty Ltd is committed to providing quality services to you.
We are pleased to offer you our services under the following terms and conditions:
1. Interpretation
1.1 In these terms and conditions:
(a) Agreement means these terms and conditions together with the Quote accepted by you.
(b) Background IP of a party means intellectual property rights owned or licensed by that party before an Engagement begins, or developed or acquired by that party otherwise than in performing or receiving the Services under that Engagement. Our Background IP includes our tools, methodologies, frameworks, templates, prompt and topic libraries, configuration patterns, scripts and know-how, and any improvement to or derivative of any of them, whenever created.
c) Confidential Information of a party means information disclosed by or on behalf of that party that is by its nature confidential, is designated as confidential, or that the receiving party knows or ought reasonably to know is confidential, and includes the terms of the Agreement, but does not include information that is or becomes public otherwise than through a breach of the Agreement, that the receiving party develops independently, or that the receiving party lawfully receives from a third party without restriction.
(d) Customer Materials means any materials, data or content supplied or made available to us by you for the purposes of an Engagement.
(e) Deliverables means the materials delivered or made available to you under an Engagement, and may incorporate New IP, our Background IP, Customer Materials and Third-Party Materials.
(f) Engagement means the provision of the Services under a Quote accepted by you.
(g) New IP means all intellectual property rights created by us, or by any person on our behalf, in performing the Services under an Engagement, other than Background IP, Customer Materials and Third-Party Materials.
(h) Personal Information has the meaning given in the Privacy Act 1988 (Cth).
(i) Personnel of a party means that party’s employees, officers, contractors and subcontractors.
(j) Quote means a quote or proposal issued by us and accepted by you, including any special conditions in it.
(k) Services means the services described in a Quote.
(l) Third Party Materials means any third party or open-source software, platform, service, model, data or other materials used in, or required for the operation of, the Deliverables, including the Microsoft platforms and services.
1.2 A reference to we, us or our is a reference to Azured Consulting Pty Ltd. A reference to you or your is a reference to the customer identified in the Quote.
1.3 Headings are for convenience only and do not affect interpretation.
2. Service description
2.1 Our services include but are not limited to, providing IT solutions, support, maintenance and consulting to clients. We will use due care and skill in performing the services, to the standard reasonably expected of a competent provider of similar services.
3. Fees and payment
3.1 We will provide you with a quote for the services to be provided, which will include fees and payment terms.
3.2 Unless the Quote states otherwise, you must pay each invoice within 30 days of the date of the invoice.
3.3 All fees are exclusive of GST. You must pay us an additional amount equal to any GST payable on a taxable supply made under the Agreement, at the same time as the consideration for that supply.
3.4 You must reimburse us for reasonable travel, accommodation and other out-of-pocket expenses incurred in performing the Services, where those expenses have been approved by you in advance.
3.5 If an invoice remains unpaid after its due date, we may charge interest on the outstanding amount at 2% above the Reserve Bank of Australia cash rate, calculated daily, and we may suspend performance of the Services on written notice until payment is received. Suspension does not relieve you of your obligation to pay.
4. Funding adjustments
4.1 For projects which include Vendor funding, should Azure consumption decrease below the agreed estimate, resulting in reduced Vendor funding, it will be the responsibility of the customer to cover any professional services shortfall. This ensures project continuity based on initial consumption agreements.
4.2 In this clause, Vendor means Microsoft or another technology vendor that provides funding in respect of an Engagement.
5. Project delays
5.1 Azured are committed to ensuring projects are delivered completely and on schedule. As such, Azured will allocate resources to deliver project works in accordance with agreed milestones, deliverables and deadlines.
5.2 It is expected customer involvement will be required to perform functions such as enable environment access, conduct reviews, approvals and the provision of accurate information in a timely manner. Azured will make every effort to minimise customer effort and accommodate for reasonable delays should they occur.
5.3 In the instance significant project delays occur whereby a project is transitioned into ‘project hold’ status due to customer request and/ or influence, Azured reserves the right to charge a project holding fee equal to 20% of the total project value, as compensation for the resources reserved for the project and the cost of remobilising the delivery team. This includes but is not limited to, delays derived from insufficient customer response, customer availability and changes in agreed scope.
5.4 Sufficient notice and warning will be supplied to the customer by Azured prior to a project being transitioned into project hold status.
6. Confidentiality
6.1 Each party must keep the other party’s Confidential Information confidential and must not disclose it to any third party without the other party’s prior written consent, except as required by law or as permitted by this clause.
6.2 A party may disclose the other party’s Confidential Information to its Personnel and professional advisers who need to know it for the purposes of the Agreement, provided that the party ensures they keep it confidential on the same terms.
6.3 Each party must use the other party’s Confidential Information only for the purposes of the Agreement.
6.4 On request after the end of an Engagement, each party must return or destroy the other party’s Confidential Information, except to the extent that it is required to retain it by law or by its backup or records retention procedures, or is entitled to retain or use it under these terms and conditions.
6.5 This clause continues for 3 years after the end of the relevant Engagement, and indefinitely in relation to Personal Information and trade secrets.
7. Intellectual property
7.1 Customer Materials and your Background IP remain your property. You grant us a non-exclusive licence to use them to the extent necessary to perform the Services.
7.2 We own our Background IP and all New IP.
7.3 On payment in full of the fees for an Engagement, we grant you a perpetual, irrevocable, worldwide, royalty-free and non-exclusive licence to use, reproduce and modify the New IP and our Background IP, in each case to the extent incorporated in the Deliverables or otherwise required for you to use the Deliverables, for your internal business purposes. You may permit third parties to exercise that licence on your behalf, and may transfer it to a successor to the whole of the business in which the Deliverables are used. Until payment in full, the same licence applies on a revocable basis.
7.4 You must not otherwise use, sub-licence, distribute or commercialise the New IP or our Background IP.
7.5 We do not own Third Party Materials and grant no rights in them. Their use is governed by the terms on which they are licensed, and you are responsible for obtaining and maintaining the licences, subscriptions and consumption arrangements required for the continued operation of the Deliverables. We do not warrant that the Deliverables are free of third-party rights.
7.6 Nothing in the Agreement restricts us from using the knowledge, skill, experience, ideas, concepts, techniques and know-how acquired in performing an Engagement, or from developing, configuring or delivering the same or similar solutions for any other person, provided that we do not use or disclose Customer Materials or your Confidential Information in doing so.
7.7 Where a Quote provides that ownership of some or all of the New IP is to pass to you, that provision prevails over this clause to the extent of any inconsistency. In that case we assign the relevant rights to you, including by way of assignment of future copyright, on payment in full of the fees for the Engagement.
7.8 We will use reasonable endeavours to procure from our Personnel such consents in relation to the Deliverables as would otherwise infringe their moral rights.
8. Privacy and personal information
8.1 You are the entity that collects and holds the Personal Information handled in connection with an Engagement. We handle that Personal Information only on your instructions and only for the purposes of performing the Services.
8.2 You warrant that you have collected the Personal Information lawfully, have given any notices required, have the authority to disclose it to us and to have it handled within your environment for the purposes of the Services, and that the content on which the Services are grounded is appropriately permissioned.
8.3 We will handle Personal Information in accordance with the Australian Privacy Principles, will not use it for our own purposes, will take reasonable steps to protect it, and will limit access to Personnel who require it for the Services.
8.4 We will notify you promptly of any actual or suspected unauthorised access to, or disclosure or loss of, Personal Information handled in connection with an Engagement, and will cooperate with your assessment of it and with any notification you make. You are responsible for making any notification required under Part IIIC of the Privacy Act 1988 (Cth).
8.5 You are responsible for provisioning, controlling and revoking our access to your systems and environments, for limiting that access to what the Services require, and for revoking it on completion of the Engagement.
8.6 Data residency, sub-processing and any disclosure of Personal Information outside Australia by a platform provider are governed by your agreement with that provider. We give no warranty in relation to a platform provider’s handling of Personal Information.
8.7 Your data remains yours. We may use it only for the purposes of performing the Services.
9. Not in use
10. Non-solicitation of personnel
10.1 In this clause, Engagement Personnel means Personnel who have been materially involved in an Engagement.
10.2 During an Engagement, and for 12 months after it is completed or terminated, neither party may, without the other party’s prior written consent, directly or indirectly solicit or induce any of the other party’s Engagement Personnel to end their employment or engagement with that party.
10.3 This clause does not prevent a party from conducting recruitment advertising that is not specifically directed at the other party’s Personnel, or from employing or engaging a person who responds to that advertising or who approaches the party on their own initiative.
10.4 If, during an Engagement or within 12 months after it is completed or terminated, you employ or engage any of our Engagement Personnel, including in circumstances permitted by the preceding paragraph, you must pay us a fee equal to 25% of that person’s total annual remuneration package with you. The fee is compensation for our recruitment, training and replacement costs, is payable within 30 days of invoice, and is payable whether or not this clause has been breached.
10.5 If any part of this clause is unenforceable, the period of 12 months is to be read as 6 months and, if it remains unenforceable, as 3 months.
11. Liability
11.1 Our liability is limited to direct damages arising from our breach of these terms and conditions. We are not liable for any indirect, special, incidental, or consequential damages arising out of or in connection with the services provided.
11.2 Our total aggregate liability arising out of or in connection with an Engagement, whether in contract, tort (including negligence), under statute or otherwise, is limited to the fees paid by you under the Quote for that Engagement.
11.3 Nothing in the Agreement excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by law, including the Australian Consumer Law, which cannot lawfully be excluded, restricted or modified.
11.4 Where the Australian Consumer Law applies and permits us to do so, our liability for a failure to comply with a consumer guarantee in relation to services is limited, at our election, to supplying the services again or paying the cost of having the services supplied again.
11.5 We are not liable for any loss to the extent that it is caused by your breach of the Agreement, by content or instructions supplied by you, or by a platform or third-party service that is not under our control.
12. Termination
12.1 Either party may terminate this agreement by providing not less than 30 days’ written notice to the other party. Upon termination, all outstanding fees must be paid, including fees for Services performed and costs committed up to the date of termination.
12.2 Either party may terminate the Agreement immediately by written notice if the other party breaches a material term and fails to remedy the breach within 14 days after receiving notice requiring it to do so, or becomes insolvent.
12.3 Each party must return or destroy the other party’s Confidential Information in accordance with the clause headed Confidentiality.
12.4 The clauses headed Interpretation, Confidentiality, Intellectual property, Privacy and personal information, Non-solicitation of personnel, Liability, Termination, General, Governing law and Entire agreement survive termination.
13. Force majeure
13.1 Neither party is liable for any failure or delay in performing its obligations under these terms and conditions if such failure or delay is caused by events beyond its reasonable control, such as natural disasters, war, or terrorism.
13.2 The affected party must notify the other party promptly and use reasonable endeavours to mitigate the effect of the event. This clause does not excuse an obligation to pay money. If the event continues for more than 30 days, either party may terminate the Agreement by written notice.
14. General
14.1 You may not assign or novate the Agreement without our prior written consent, which will not be unreasonably withheld.
14.2 We may subcontract the performance of any part of the Services, and remain responsible for the performance of our subcontractors.
14.3 A notice under the Agreement must be in writing and sent to the other party’s nominated contact by email or delivered to its registered office. A notice is taken to be received on the day of delivery or transmission, unless sent after 5.00pm, in which case it is taken to be received on the next business day.
14.4 If a dispute arises, the parties must meet and attempt in good faith to resolve it within 14 days before commencing proceedings. This clause does not prevent a party from seeking urgent interlocutory relief.
14.5 A failure or delay in exercising a right under the Agreement does not operate as a waiver of that right.
14.6 If a provision of the Agreement is unenforceable, it is to be read down to the extent necessary or severed, without affecting the remaining provisions.
14.7 We perform the Services as an independent contractor. Nothing in the Agreement creates a partnership, joint venture or employment relationship.
15. Governing law
15.1 These terms and conditions are governed by the laws of the State of Victoria, Australia. Each party submits to the non-exclusive jurisdiction of the courts of that State and of the courts competent to hear appeals from them.
16. Entire agreement
16.1 These terms and conditions, together with the Quote accepted by you (including any special conditions in it), form the entire agreement between us in relation to the Services and supersede all prior negotiations, understandings, and agreements.
16.2 If there is any inconsistency, the following order of precedence applies: first, any special conditions in the Quote; second, the balance of the Quote; third, these terms and conditions. These terms and conditions may otherwise only be varied in writing signed by both parties.
If you have any questions or concerns about these terms and conditions, please contact your Azured account representative.
